Terms and Conditions

1. Purpose
These Terms and Conditions govern access to and use of Business Brokers Hub by buyers, brokers, sellers, administrators, and other users of the platform.
2. Platform role
Business Brokers Hub provides a structured marketplace, listing, enquiry, messaging, document-gating, referral, and workflow platform. Business Brokers Hub is not a brokerage, does not value businesses, does not negotiate transactions, and does not guarantee any sale, funding approval, due diligence result, valuation, mandate, or transaction outcome.
3. Account accuracy and approval
Users must provide accurate registration information, keep credentials secure, and update material changes. Business Brokers Hub may verify users, approve or reject accounts, request additional information, suspend access, or restrict workflows where required for legal, security, confidentiality, or commercial-protection reasons.
4. Role-specific use
- Buyers may search listings, save interests, submit enquiries, request gated access, upload qualification documents where required, and communicate through approved platform workflows.
- Brokers may manage listings and buyer leads in accordance with active broker participation, referral, confidentiality, and platform requirements.
- Sellers or business owners may submit private business information for review and broker introduction. Seller submissions are not public listings unless later broker-managed and approved.
5. Listings and anonymised information
Listing information may be supplied by brokers, sellers, public source material, import workflows, or platform administrators. Business Brokers Hub may standardise, summarise, anonymise, obscure, rewrite, classify, or withhold listing details and images to protect seller confidentiality, broker attribution, and anti-circumvention controls. Users must independently verify all material information before acting.
6. Confidentiality and anti-circumvention
Users must not bypass Business Brokers Hub, a source broker, a seller, or an approved workflow to avoid referral fees, commission, confidentiality obligations, identity reveal controls, NDA requirements, proof-of-funds review, or deal tracking. Confidential information may only be used for evaluating or facilitating a legitimate business transaction through authorised channels.
7. Communications and identity reveal
Users must keep communications inside the platform until identity reveal, direct contact release, or another authorised handoff is approved. Business Brokers Hub may block or moderate direct contact details where necessary to protect confidentiality, broker attribution, buyer qualification, or anti-circumvention controls.
8. Documents
Users must only upload lawful, accurate, authorised, and relevant documents. Uploaded documents may be reviewed for account approval, buyer qualification, seller-intake, gated listing access, broker handoff, audit, compliance, and dispute-evidence purposes.
9. Fees and commercial terms
Platform fees, referral fees, spotter fees, broker participation obligations, commission-sharing arrangements, or success-fee obligations are governed by the applicable active agreement, accepted workflow terms, or written commercial terms for the relevant transaction. Brokers remain responsible for their own seller mandates, broker-client relationships, transaction negotiation, and closing process.
10. Prohibited conduct
- False, misleading, fraudulent, abusive, or spam enquiries.
- Attempted circumvention of platform introductions, source brokers, referral fees, or confidentiality workflows.
- Unauthorised copying, republication, scraping, harvesting, or resale of listing data.
- Uploading malware, unlawful content, or third-party confidential material without authority.
- Using confidential information for any purpose other than a legitimate transaction evaluation or broker-led transaction workflow.
11. Suspension, removal, and moderation
Business Brokers Hub may suspend accounts, remove listings, pause enquiries, restrict messages, block documents, or remove access where required for compliance, confidentiality, security, legal, reputation, or commercial-protection reasons.
12. Privacy and POPIA
Personal information is processed under the active Privacy / POPIA Notice and applicable South African law. By registering or using the platform, users acknowledge that information may be processed for the purposes described in that notice and in applicable workflow agreements.
13. No professional advice
Information on Business Brokers Hub is not legal, tax, accounting, valuation, investment, funding, or due-diligence advice. Users should obtain independent professional advice before making acquisition, sale, funding, or investment decisions.
14. Electronic acceptance
Users may accept platform terms, privacy notices, broker agreements, buyer terms, NDA terms, proof-of-funds consents, and other workflow agreements electronically. Acceptance records may include user ID, agreement version, timestamp, IP address, user-agent hash, source page, and workflow context.
15. Governing law
These Terms are governed by the laws of the Republic of South Africa. Disputes should first be escalated in writing for good-faith resolution unless urgent relief is required.
16. Changes
Business Brokers Hub may issue updated terms from time to time. Users may be required to accept the active version before continuing to use protected workflows.
